Notre
société à été crée en 2003 et est
basée en France.
Nous sommes spécialisé dans la distribution de produits
horlogers et textile (cashmere), et marques "fashion" de type Manhattan
Portage, Emily The Strange, et autres.
En 2007, nous avons crée une marque de montre en France et sommes en train d' organiser sa distribution dans plusieurs pays dont les Etats Unis.
Nous avons donc trouvé 2 partenaires Americains ayant une grande experience dans le domaine de l'horlogerie, car 10 ans à la tête de Swatch, LA Gear, et autres. Nos partenaires ont crée une société une Incorpation de type C. Moi et mon associé en France detenons 50% de cette société, et les 2 partenaires Americains 25% chacun. Ils sont "Officer, Secretary, et Treasury".
La société a été crée avec LegalZoom.com, et nous n'avons encore signé aucun papiers. Ils nous demandent de signer un partnership agreement, et des Bylaws. Nous devons leur faire signer un "Distributor's agreement".
La situation est classique, mais nous avons besoin d'un encadrement et conseil juridique afin de sécuriser cette association, et le rendre la plus stable possible pour nous. Nous vous demandons donc de nous aider à trouver ce conseil.

Our company was created in 2003, and is located in France. We are specialized in distribution of watches, and apparel (cashmere), and also brands such as Manhattan Portage, Emily the Strange, and others.
In 2007, we have created our own brand and are setting an international distribution network including the US. For the American market, we have decided to go for a Joint Venture, with 2 Americans who have a strong background in the Watch industry, after 10 years running Swatch USA, and other companies.
Using legalZoom, they have created a company in California an "Inc" type C. They have 50% of the company, and me and my French partner have the other 50%. They are officer, secretary, and treasury. So far, me and my partner have not signed any documents (which concerns us), and are requested to sign bylaws and partnership agreement.
We need legal advice to go thru that deal and secure our partnership.
